Welcome to LookFoundation.org. The LookFoundation.org website (the "Site") is comprised of various web pages operated by The Look Foundation. LookFoundation.org is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of LookFoundation.org constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference. LookFoundation.org is a Non-Profit Site.
The LookFoundation.org was started to help children and young adults, across the United States fund diagnostic testing and treatment for PANS & PANDAS disease.

Your use of LookFoundation.org is subject to The Look. Foundation’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.
Electronic Communications
Visiting LookFoundation.org or sending emails to The Look. Foundation constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Certain services made available via LookFoundation.org are delivered by third party sites and organizations. By using any product, service or functionality originating from the LookFoundation.org , you hereby acknowledge and consent that The Look. Foundation may share such information and data with any third party with whom The Look. Foundation has a contractual relationship to provide the requested product, service or functionality on behalf of LookFoundation.org users and customers.
No Unlawful or Prohibited Use/Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use LookFoundation.org strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to Look. Foundation that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.
All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Look. Foundation or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. The Look. Foundation content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of The Look. Foundation and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of The Look. Foundation or our licensors except as expressly authorized by these Terms.
Third-Party Accounts
You will be able to connect your account to third-party accounts. By connecting your Look. Foundation account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.
Indemnification
You agree to indemnify, defend and hold harmless Look. Foundation, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. The Look. Foundation reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Look. Foundation in asserting any available defenses.
Class Action Waiver
Any and all claims against Look. Foundation are subject to arbitration in Boston, Massachusetts in accordance with the Rules and Procedures set forth by the American Arbitration Association. Massachusetts law shall govern any such claims. Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and the Look. Foundation agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

The information, software, products, and services included in or available through the site may include inaccuracies or typographical errors. changes are periodically added to the information herein. The Look. Foundation and/or its suppliers may make improvements and/or changes in the site at any time.
The Look. Foundation and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained on the site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without warranty or condition of any kind. The Look. Foundation and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.
To the maximum extent permitted by applicable law, in no event shall The Look. Foundation and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability or otherwise, even if The Look. Foundation, Inc. or any of its suppliers has been advised of the possibility of damages. because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. if you are dissatisfied with any portion of the site, or with any of these terms of use, your sole and exclusive remedy are to discontinue using the site.
Termination/Access Restriction
The Look. Foundation reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Florida and you hereby consent to the exclusive jurisdiction and venue of courts in Florida in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and The Look. Foundation as a result of this agreement or use of the Site. The Look. Foundation’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of The Look. Foundation’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Look. Foundation with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and The Look. Foundation with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and The Look. Foundation with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
Changes to Terms
The Look. Foundation reserves the right, in its sole discretion, to change the Terms under which www.jbcfund.org is offered. The most current version of the Terms will supersede all previous versions. The Look. Foundation encourages you to periodically review the Terms to stay informed of our updates.

Retention Policy
Adopted by the Board of Directors on November 18, 2024
1. PURPOSE
Look. Foundation, Inc. (the “Organization”) has adopted this Document Retention Policy (this “Policy”) to help it manage its records efficiently, report its performance accurately, substantiatei ts disclosures, and comply with applicable laws relating to preservation and confidentiality of such records. These laws include the Internal Revenue Code, the Sarbanes-Oxley Act, other statutes, and court rules of procedure.
2. COVERED DOCUMENTS AND PEOPLE
This Policy covers the Organization’s directors, officers, employees, volunteers, and, as
appropriate, vendors and other outside providers. This Policy covers records created and stored in
any form or media, including but not limited to:
• handwritten, typed, or printed paper documents;
• electronic documents (e.g. email, web sites, zip files, CD rom or diskettes);
• video or digital images;
• recorded audio material;
• graphic representations; and
• information contained on network servers and/or document management systems.
3. GENERAL PROCEDURES
The Organization is committed to compliance with legal requirements relating to document integrity, document retention, and privacy. The Organization shall retain documents as necessary to comply with law and as needed for operations but will not retain them for longer than as needed
for such purposes. The Organization may establish retention schedules for specific categories of records. Records relating to the specific categories listed on the attached Recommended Record Retention and Destruction Schedule (the “Schedule”) should be: (1) retained for the length of time provided on the schedule; and (2) destroyed at the end of such period, except as provided below. While the Schedule reflects minimum retention timelines for certain categories of records, retention of a document, whether or not identified in the table, should be determined primarily by application of the general principles of this policy and the specific requirements below relating to litigation-relevant materials.

4. LEGAL PROCEEDINGS
The Organization will not alter, destroy, mutilate, conceal, cover up, falsify, or make a false entry in a record, or attempt to do so, with the intent to impair the record’s integrity or availability for use in a legal proceeding (defined below) or impede, obstruct, or influence a legal proceeding. If the Organization learns of, or reasonably anticipates, a claim that may give rise to a legal proceeding, the Organization will take appropriate actions, including cessation of destruction of records, to ensure safeguarding of records relevant to the legal proceeding. “Legal proceeding” means any investigation, civil or criminal litigation, official proceeding or any proper administration of any matter within the jurisdiction of any department or agency of the United States or of any state or local government.
5. ADMINISTRATION
The Executive Director is responsible for administering this Policy in a manner that is reasonably attainable given the Organization’s resources and administrative capacity. Those responsibilities include: (a) setting standards for data collection and security; (b) overseeing protocols for compliance with privacy laws and the Organization’s own privacy policies; (c) setting standards for document integrity, such as guidelines for backup and archiving procedures, document retention in case of an emergency, and checkups of system reliability; (d) consulting with the Organization’s associates about storage and destruction of specific categories of documents; (e) issuing instructions with respect to litigation matters; and (f) reviewing arrangements with volunteers and outside providers.
6. DOCUMENT DESTRUCTION PROCEDURES
a. Record Destruction Procedures. Once records have been retained for the applicable period, they should be destroyed, unless destruction of a class of records has been suspended for any reason.
b. Destruction of Personal Copies. Where the Organization’s staff members retain personal copies of records in their desk files such copies should be destroyed at the same time as the official copy of the record.
c. Suspension of Record Destruction. In the event that any member of the Organization’s staff becomes aware of imminent or pending government (federal,
state or local) investigations, audits, proceedings or any lawsuits involving the Organization, he or she should immediately report such information to the Executive Director. The Organization’s staff should not make any independent determinations concerning the suspension of record destruction procedures. The Executive Director, in consultation with the Organization’s President and legal counsel, shall make a Look. Foundation, Inc. -Document Retention Policy- 3 determination as to whether it is necessary to suspend destruction for any class of records for any reason and shall provide prompt notice to the Organization’s staff of any deviations from the Schedule.
d. Destruction of Other Records. Those categories of records that are not listed in the Schedule may be destroyed at such time and in a manner that best facilitates the efficient administration of the Organization’s activities.
7. NON-COMPLIANCE
Failure to comply with this Policy, including, particularly, disobeying any destruction halt order, could result in possible civil or criminal penalties including fines and imprisonment, contempt orders, litigation sanctions, disciplinary action for individual employees, and increased costs and inefficiencies.
8. RELATIONSHIP TO LAWS AND CONTRACTS
This Policy is intended to supplement and not supersede any applicable federal and state laws, or any contracts to which the Organization is a party, relating to retention and confidentiality of specific documents and information.
9. AMENDMENT
This Policy may be amended at any time by vote of the Board of Directors.

WHISTLEBLOWER POLICY
Adopted by the Board of Directors on November 18, 2024
1. PURPOSE
Look. Foundation, Inc. (the “Organization”) requires its directors, officers, employees and volunteers to observe high standards of business and personal ethics in the conduct of their duties and responsibilities. The Organization adopted this Whistleblower Policy (“Policy”) to facilitate
open and honest communication concerning its governances, finances, and compliance with law,
policy, and ethical principles. This Policy applies to all directors, officers, employees, and
volunteers of the Organization (collectively, “Organization Associates”). The purpose of this
policy is to encourage the reporting of any action or suspected action taken within the Organization
that is illegal, fraudulent or in violation of any adopted policy of the Organization, to a source
within the Organization before turning to outside parties for resolution. This policy applies to any
matter which is related to the Organization’s business and does not relate to private acts of an
individual not connected to the business of the Organization.
2. VIOLATIONS; REPORTING IN GOOD FAITH
All Organization Associates are encouraged to report any action or suspected action taken within
the Organization that is illegal, fraudulent or in violation of any adopted policy of the Organization
(each, a “Violation”). Anyone reporting a Violation must act in good faith, without malice to the
Organization or any individual in the Organization, and have reasonable grounds for believing that
the information shared in the report indicates that a Violation has occurred.
3. NO RETALIATION
No Organization Associate who in good faith reports a Violation or cooperates in the investigation
of a Violation shall suffer harassment, retaliation or adverse employment or volunteer
consequences. Any individual within the Organization who retaliates against another individual
who in good faith has reported a Violation or has cooperated in the investigation of a Violation is
subject to discipline, including termination of employment or volunteer status.
If an individual believes that someone who has made a report of a Violation or who has cooperated
in the investigation of a Violation is suffering from harassment, retaliation or other adverse

employment or volunteer consequences, the individual should contact the Executive Director or
the Compliance Officer, if such position has been established by the Organization.
Any individual who reasonably believes he or she has been retaliated against in violation of this
policy shall follow the same procedures as for filing a complaint (outlined in Paragraph 4 below).
4. REPORTING PROCESS
If an individual reasonably believes that a Violation has occurred, the individual is encouraged to
share his or her questions, concerns, suggestions or complaints with the Executive Director or the
Compliance Office (if applicable). However, if an individual is not comfortable speaking with the
Executive Director or Compliance Officer, or if he or she is not satisfied with their response, the
individual is encouraged to speak directly to any Board member or anyone in management he or
she feels comfortable approaching.
5. CONFIDENTIALITY
The Organization encourages anyone reporting a Violation to identify himself or herself when
making a report in order to facilitate the investigation of the Violation. However, reports may be
submitted on a confidential basis by the complainant or may be submitted anonymously on the
attached Whistleblower Reporting Form. Reports of Violations or suspected Violations will be
kept confidential to the extent possible, consistent with the need to conduct an adequate
investigation, to comply with all applicable laws, and to cooperate with law enforcement
authorities. Furthermore, the Organization will explore anonymous allegations to the extent
possible, but will weigh the prudence of continuing such investigations against the likelihood of
confirming the alleged facts or circumstances from attributable sources.
6. HANDLING REPORTED VIOLATIONS
Any Organization Associate who receives a report of a Violation from a complainant is required
to notify the Executive Director of that report, except as provided below. The Executive Director
will notify the complainant and acknowledge receipt of a report of Violation within five business
days, but only to the extent that the complainant’s identity is disclosed or a return address is
provided.
The Executive Director, or his/her designee, is responsible for promptly investigating all reported
Violations and for causing appropriate corrective action to be taken if warranted by the
investigation. The complainant will be notified about what actions will be taken, to the extent
reasonably possible and consistent with any privacy or confidentiality limitations. If no further
action or investigation is to follow, an explanation for the decision will be given to the complainant.

In the event the Executive Director is suspected of having committed a Violation, then the
Violation will be reported to the President and the Violation will be investigated by the President
under close supervision of the Board of Directors.
7. OTHER LAWS AND POLICIES
This Policy is intended to supplement and not supersede (a) federal and state laws, (b) government
or other contracts that may include applicable requirements, or (c) Client policies including,
without limitation, those relating to harassment, discrimination, or personnel matters.
8. AMENDMENT
This Policy may be amended at any time by vote of the Board of Directors.
